SharePoint Terms and Conditions

Important legal notice

These terms of use ("Terms") set out the conditions for using lawdebenture.sharepoint.com ("Services").

By using the Services, you confirm that you accept these terms of use and that you agree to comply with them. If you do not agree to these Terms, you must not use the Services. We may amend these Terms from time to time. Please check these Terms regularly to ensure you understand the version that applies at that time.

Any references to "us" or "we" within these Terms shall mean L.D.C. Trust Management Limited and its subsidiaries of The Law Debenture Corporation p.l.c. ("Group").

Security

The Services are secure applications which include user authentication, access controls, user permissioning, data encryption during transit and at rest. Although these features provide a high level of protection, total security of the Services cannot be guaranteed.

The Group does not guarantee that the Services will be secure or free from bugs or viruses. You are responsible for configuring your information technology and computer programmes to access the Services. You must not misuse the Services by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the server on which the Services are stored or any server, computer or database connected to the Services. You must not attack the Services via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Services will cease immediately.

Disclosure

Holding documents on the Services will not protect them from the normal rules of disclosure in legal proceedings or from seizure by regulatory or other authorities in any jurisdiction in which the document is held, opened or accessible, whether permanently or temporarily. Rules of legal privilege may be different in different jurisdictions.

Password

You agree to be responsible for use made of any username and passwords allocated to you. You must keep any passwords strictly confidential, and notify us immediately if any are lost or stolen or disclosed to anyone who is not the intended user, or you believe the security is threatened in any way.

Termination/Access Restriction

We reserve the right, in our sole discretion, to terminate or restrict your access to any portion of the Services at any time, without notice. We reserve the right to withdraw any password and username immediately if, at any time, we believe you are in breach of these Terms.

Acceptable Use

You shall comply with any equivalent policies that we publish about acceptable use from time to time, which govern your access, when using the Services. If we deemed you to be in breach of any acceptable use policy we reserve the right, in our sole discretion, to terminate or restrict your access to any portion of the Services at any time, without notice.

Data Protection

Please see our privacy policy for information as to how your personal data will be process via the Services.

Liability

We, will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with your use of, or inability to use the Services; or use of or reliance on any content displayed on the Services.

In particular, we will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings, loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

We do not provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness or suitability of the information and materials found or offered on the Services for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the extent permitted by law.

Governing Law

These terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. You and we both agree to the exclusive jurisdiction of the courts of England and Wales.
